1 Agreement to Terms

Welcome to Music Marquee, developed by Tasty Cocoa Software LLC ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of the Music Marquee iOS application ("App").

By downloading, installing, or using Music Marquee, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

2 Eligibility

You must be at least 13 years old to use Music Marquee. By using the App, you represent and warrant that:

• You are at least 13 years of age
• If you are under 18, you have obtained parental or guardian consent to use the App
• You have the legal capacity to enter into these Terms
• You are not prohibited from using the App under any applicable law

If you are using Music Marquee on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use Music Marquee on iOS devices that you own or control, solely for your personal, non-commercial purposes.

You May

• Use the App on multiple personal iOS devices linked to your Apple ID
• Access all features included in the Free tier
• Subscribe to Premium for access to additional features
• Connect optional third-party services like Last.fm

You May Not

• Copy, modify, distribute, sell, or lease any part of the App
• Reverse engineer, decompile, or disassemble the App
• Attempt to extract the source code or underlying algorithms
• Remove, alter, or obscure any proprietary notices in the App
• Use the App for any commercial purpose without our written consent
• Use the App to infringe upon the rights of others

4 Apple Music Requirement

Music Marquee is designed as a companion app for Apple Music. Core functionality requires an active Apple Music subscription, which is a separate service provided by Apple Inc.

Your Responsibilities

• Maintaining an active Apple Music subscription to use core features
• Ensuring your Apple ID is in good standing
• Complying with Apple Music's terms of service
• Understanding that Music Marquee features depend on Apple Music API availability

Service Limitations

If Apple Music becomes unavailable, changes its API, or your subscription lapses, some or all features of Music Marquee may not function. We are not responsible for any loss of functionality resulting from changes to or issues with Apple Music.

5 Subscriptions and Billing

Music Marquee offers a freemium model with optional Premium subscriptions for enhanced features.

Free Tier

Basic features are available at no cost, including core music playback controls, basic themes, and limited widget options.

Premium Subscription

Premium unlocks additional features including custom themes, custom app icons, and all widget sizes.

Billing Terms

• Payment: Subscriptions are billed through your Apple ID via the App Store. All prices are in USD and may vary by region.
• Auto-Renewal: Subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period.
• Renewal Charge: Your Apple ID will be charged for renewal within 24 hours prior to the end of the current period at the same rate.
• Price Changes: We may change subscription prices. You will be notified of any price changes in advance, and changes will apply to subsequent billing periods.

Managing Your Subscription

You can manage or cancel your subscription at any time through your device's Settings:

1. Open Settings on your iPhone or iPad
2. Tap your Apple ID at the top
3. Tap Subscriptions
4. Select Music Marquee to manage or cancel

Refunds

All purchases are processed by Apple. Refund requests must be submitted to Apple directly through reportaproblem.apple.com. We cannot process refunds ourselves. Deleting the App does not cancel your subscription or entitle you to a refund.

6 Third-Party Services

Music Marquee integrates with third-party services. Your use of these services is subject to their respective terms.

We are not responsible for the availability, accuracy, or content of third-party services, or for any damages arising from your use of them.

7 Prohibited Uses

You agree not to use Music Marquee in any way that:

• Violates any applicable law or regulation
• Infringes upon the intellectual property rights of others
• Attempts to circumvent subscription requirements or payment
• Interferes with or disrupts the App or its underlying services
• Attempts to gain unauthorized access to any systems or networks
• Uses automated means (bots, scrapers) to interact with the App
• Distributes malware or other harmful code
• Impersonates any person or entity
• Collects information about other users without consent
• Uses the App in any manner that could damage our reputation

We reserve the right to investigate and take appropriate action against anyone who violates these prohibitions, including removing access to premium features or reporting to law enforcement.

8 Intellectual Property

The App, including its design, features, graphics, icons, themes, and underlying code, is owned by Tasty Cocoa Software LLC and is protected by copyright, trademark, and other intellectual property laws.

Our Ownership

• The Music Marquee name, logo, and branding
• App design, user interface, and user experience
• Custom themes and app icons included in the App
• All original content created for the App
• The underlying software code and architecture

Third-Party Content

Album artwork, artist images, and music metadata displayed in the App are provided through Apple Music and belong to their respective rights holders. These materials are displayed under license from Apple and are subject to Apple's terms.

Feedback

If you provide suggestions, ideas, or feedback about the App, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that feedback into the App without obligation to you.

9 Disclaimers

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

• Warranties of merchantability and fitness for a particular purpose
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties that defects will be corrected
• Warranties regarding the accuracy or reliability of any information

We do not warrant that:

• The App will meet your specific requirements
• The App will be compatible with future iOS versions
• Apple Music integration will remain available or unchanged
• Third-party services will continue to be available

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

10 Limitation of Liability

To the maximum extent permitted by applicable law:

Our total liability for all claims related to the App shall not exceed the amount you paid for Premium subscriptions in the twelve (12) months preceding the claim, or fifty dollars ($50), whichever is greater.

These limitations apply regardless of:

• The legal theory on which the claim is based
• Whether we were advised of the possibility of such damages
• Whether the limited remedies fail of their essential purpose

Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the greatest extent permitted by law.

11 Termination

These Terms remain in effect until terminated by you or us.

Termination by You

You may terminate these Terms at any time by:

• Canceling any active subscriptions
• Deleting the App from your devices
• Discontinuing all use of the App

Termination by Us

We may terminate or suspend your access to the App immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the App or cease operations

Effect of Termination

Upon termination:

• Your license to use the App ends immediately
• You must delete all copies of the App
• Provisions that by their nature should survive will remain in effect (including Sections 8, 9, 10, and 12)

Termination does not entitle you to a refund of any subscription fees. Active subscriptions should be canceled through the App Store to prevent future charges.

12 Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to conflict of law principles.

Dispute Resolution

Any dispute arising from these Terms or your use of the App shall be resolved as follows:

1. Informal Resolution: You agree to first contact us at privacy@tastycocoa.com to attempt to resolve any dispute informally.
2. Binding Arbitration: If informal resolution fails after 30 days, any remaining dispute shall be resolved by binding arbitration in accordance with the American Arbitration Association's rules.
3. Class Action Waiver: You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as a class action or representative action.

Exceptions

Nothing in this section prevents either party from seeking injunctive relief in court for intellectual property infringement or other urgent matters.

13 Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes:

• We will update the "Last Updated" date at the top of this page
• For material changes, we will provide notice through the App or App Store update notes
• Changes become effective immediately upon posting unless otherwise stated

Your continued use of Music Marquee after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the App and cancel any active subscriptions.

We encourage you to review these Terms periodically to stay informed of any updates.
